? To establish the appropriate balance between executive and non-executive directors. (The UK corporate governance code specifies that a half of the whole board should be NEDS).

? To ensure that the board contains the requisite skills, knowledge and experience to effectively lead the company and provide leadership. Any identified gaps in these requirements should be filled by new appointments.

? The continuity of required skills, the retention of directors and succession planning.

? To determine the most desirable board size given the skill needs, cost constraints and strategies of the company.

? To ensure the diversity of the boards.
